1. Agreement to Terms

By accessing and using this website and the Vuganawe English learning platform (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our Services. Vuganawe ("we," "us," "our," or "Company") reserves the right to modify these Terms at any time. Continued use of the Services after modifications constitutes acceptance of the updated Terms.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on the Vuganawe Services for personal, non-commercial viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to decompile or reverse engineer any software contained on our Services
• Remove any copyright or other proprietary notations from the materials
• Sell, rent, or lease the materials to a third party
• Transfer the materials to another person or "mirror" the materials on any other server
• Violate any applicable laws or regulations
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services or violates the rights of others

3. User Accounts and Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, truthful, and complete information during registration
• Maintain the confidentiality of your password and account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account
• Not use another person's account without permission

Vuganawe reserves the right to suspend or terminate accounts that violate these Terms or engage in inappropriate conduct.

4. Intellectual Property Rights

All content on the Vuganawe Services, including text, graphics, images, audio, video, lesson materials, software, and source code, is the property of Vuganawe or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, or sell any content from our Services without written permission from Vuganawe, except as permitted by fair use or other applicable law.

By submitting content (such as exercise responses, speaking recordings, or feedback) to our platform, you grant Vuganawe a non-exclusive, royalty-free license to use, modify, and display that content for educational and service improvement purposes.

5. Course Access and Enrollment

Enrollment: When you enroll in a course, you receive access to course materials for the duration specified at the time of purchase.

Course Content: Course materials are provided "as is" for educational purposes. Vuganawe does not guarantee specific learning outcomes or employment results.

Account Termination: Upon account closure or termination, your access to course materials will be revoked unless otherwise agreed in writing.

6. Payment and Refunds

Payment Terms: All fees and charges are clearly displayed at the time of purchase. By proceeding with purchase, you authorize payment through the selected payment method.

Refund Policy:

• 7-Day Money-Back Guarantee: You may request a full refund within 7 days of purchase if you have not completed more than 25% of the course material.
• After 7 Days: No refunds are provided once you have completed more than 25% of course material or after 7 days from purchase, whichever comes first.
• Course Cancellation: Vuganawe may cancel or modify courses at any time. If a course is cancelled, we will offer a refund or an alternative course of equal value.

Taxes: You are responsible for any applicable taxes on your purchase. Vuganawe will add taxes where required by law.

7. Disclaimers and Limitations

As-Is Basis: The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

No Guarantees: Vuganawe does not guarantee:

• Uninterrupted or error-free access to the Services
• That defects will be corrected
• Specific proficiency levels or employment outcomes
• Availability of the Services at any particular time

Limitation of Liability: To the fullest extent permitted by law, Vuganawe shall not be liable for indirect, incidental, special, or consequential damages arising from your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of these Terms shall not exceed the amount you paid for the Services in the past 12 months.

8. User Conduct

You agree not to use the Services to:

• Harass, threaten, defame, or harm other users or Vuganawe staff
• Post spam, unsolicited advertising, or malicious content
• Violate the rights of others (intellectual property, privacy, etc.)
• Attempt to access Systems without authorization
• Transmit viruses, malware, or harmful code
• Engage in any illegal activity
• Impersonate another person or entity
• Bypass security measures or access restrictions

Vuganawe reserves the right to remove content, suspend accounts, or take legal action against users who violate these terms.

9. Recordings and Intellectual Property in Lessons

Speaking Exercises: When you complete speaking exercises or submit audio content, you grant Vuganawe the right to analyze, score, and provide feedback on your submissions.

Retention: We retain your submissions to track your progress and improve our Services. Your submissions will not be shared publicly without your consent, except as required by law.

Your Work: You retain rights to any original written work you create through our Services, but grant Vuganawe a license to use it for educational and service improvement purposes.

10. Third-Party Services and Links

The Services may contain links to third-party websites and services that are not operated by Vuganawe. We are not responsible for the content, accuracy, or practices of external sites. Use third-party services at your own risk and review their terms and privacy policies.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vuganawe, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Infringement of any third-party rights through your use of the Services

12. Termination

Vuganawe may terminate or suspend your account and access to the Services immediately, without notice, if you violate any provision of these Terms or engage in conduct that Vuganawe believes is harmful to other users or the Services.

Upon termination, your right to use the Services ceases immediately, and you must delete downloaded materials as directed by Vuganawe.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Rwanda, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts of Kigali, Rwanda.

14. Dispute Resolution

Before pursuing legal action, we encourage you to contact us at info@vuganawe.com to resolve disputes informally. If informal resolution is unsuccessful, disputes may be resolved through binding arbitration or legal proceedings in Rwanda.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

16. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Vuganawe concerning the Services and supersede all prior understandings and agreements.
